The Supervisory Board carries out Sberbank’s general management with the exception of matters that are designated by Sberbank’s charter as being the exclusive responsibility of the General Shareholders’ Meeting. Members of the Supervisory Board are elected at the General Shareholders’ Meeting for the terms up to the following annual General Shareholders’ Meeting. The Supervisory Board is headed by the Chairman elected by the members of the Supervisory Board. Persons elected as the members of the Supervisory Board may be re-elected without limitation. The Supervisory Board meets at least quarterly. Decisions of the Supervisory Board are made by simple majority (excluding certain cases specified by law and Sberbank’s charter), provided that there is a quorum (at least half of the members either attend in person or submit their views in writing one day prior to a meeting of the Supervisory Board).
